According to foreign media reports, NVIDIA is likely to abandon its plan to acquire Arm for $40 billion due to disagreements with competition regulators. It is reported that NVIDIA has informed its partners that the deal is not expected to be completed.
Meanwhile, Arm’s owner, SoftBank of Japan, is gearing up for Arm’s IPO.
In September 2020, NVIDIA announced that it would spend $40 billion to acquire Arm from SoftBank, the largest deal in the history of the semiconductor industry.
At the time, NVIDIA founder and CEO Jen-Hsun Huang told reporters that the two companies were "completely complementary," stating:
"NVIDIA doesn't design CPUs, we don't have a CPU instruction set, and NVIDIA doesn't license IP to semiconductor companies, so from that perspective, we're not a competitor. We'd love to add more IP tools, and unlike ARM, The thing is, NVIDIA is not in the mobile phone market.”
"Our intention is to combine the engineering and technology, as well as the R&D capabilities of both companies, so that we can accelerate the technology development of ARM's vast ecosystem, and one area we are very interested in is accelerating the development of server CPUs."
In addition, Huang believed still to employees said, Arm will operate as a division of NVIDIA in the United Kingdom, and " continue to operate its open licensing model, while maintaining its global customers neutrality ."
Although NVIDIA promised to treat Arm as an independent subsidiary, the news of the acquisition was opposed by almost everyone except Arm, NVIDIA and Softbank, and some tech giants including Qualcomm, Microsoft and Intel also filed for regulatory approval. Institutions have expressed concern that the acquisition would give Nvidia the ability to stifle competition in the chip industry and create a semiconductor giant.
On December 2, 2021, the US Federal Trade Commission (FTC) filed a lawsuit on antitrust grounds to block NVIDIA's $40 billion acquisition of British chip design company ARM from Japan's SoftBank Group.
In this regard, NVIDIA and SoftBank also actively resisted, and until now the leadership of NVIDIA and Arm are still complaining to the regulator, and no final decision has been made. During this period, the two companies maintained their commitment to the acquisition.
"We continue to hold the view detailed in our latest regulatory filing that this transaction provides an opportunity to accelerate Arm's growth, promote competition and innovation," said NVIDIA spokesman Bob Sherbin.
Softbank spokesman said, " we remain hopeful that the deal was approved ."
